Company Setup Services: Establishing Your Presence in the UAE Free Zone

For any business looking to expand its footprint in the UAE, the first step to establish its presence there is to set up a company in a free zone (FZ). India Entry Strategies

Three Ways to Set Up a Company in the UAE Free Zone:

The incorporation stage starts with choosing the three names which are to be suggested to us for creating an entity by a non-resident in the UAE. This can be majorly through three types:

  • A FZ entity owned by an Individual shareholder. A single shareholder can own 100% of the UAE FZ company.
  • A FZ entity owned by a parent entity outside the UAE. The UAE FZ entity will be subsidiary in this case.
  • A Branch of a foreign entity in the UAE FZ. A branch in the FZ can also be established by a UAE resident.

Free Zone Entity Owned by an Individual Shareholder:

For a FZ entity owned by an individual shareholder, the documentation requirements include:

  • Passport copies of shareholders, managers, and directors
  • Shareholders’, managers’ and director’s profiles
  • Visa and Emirates ID copies of shareholders, managers, and directors (if available)
  • Passport-size photos of shareholders, managers, and directors
  • A brief on business activities to be added in your trade licence

Subsidiary Formation in the UAE Free Zone:

Coming to the subsidiary formation in the UAE FZ, all the above requirements will be relevant along with the following additional documents:

  • Parent Company Documents:
    • Certificate of Incorporation/Formation (attested by the Indian embassy and Ministry of Foreign Affairs in the UAE)
    • Certificate of Incumbency (issued within the last 3 months)
    • Memorandum and Articles of Association
    • Board Resolution
  • Ultimate Beneficial Ownership Declaration

Forming a Branch

Forming a branch in the UAE FZ requires the parent company’s country, the name of the parent company, and a description of its business activities along with the details mentioned above.
